Terms and Conditions
These Campaign Terms and Conditions (“Campaign Terms”) govern your participation in any trading competition, campaign, or promotional activity (each a “Campaign”) on our Trading Platform.
All capitalised terms and references used in these Campaign Terms that are defined and construed in the Flipster’s Terms of Use (the “Terms of Use”) but are not defined or construed in these Campaign Terms shall have the same meaning and construction in the Terms of Use. For the avoidance of doubt, where a term is defined in the Terms of Use and in these Campaign Terms, the definition provided in these Campaign Terms shall (for the purposes of the Campaign only) apply.
The terms in these Campaign Terms shall be supplemental to and are to be read together with the Terms of Use. In the event of any conflict or inconsistency between the terms in these Campaign Terms and Terms of Use, the terms in these Campaign Terms shall prevail with respect to the services contemplated hereunder unless expressly stated otherwise.
Unless otherwise expressly agreed by us in writing, this version of these Campaign Terms shall replace and supersede all previous versions of these Campaign Terms that may have been accepted by you or otherwise made available on the Trading Platform.
By participating in the Campaign, users agree that they have read, understood, and agreed to be bound by these Campaign Terms, Terms of Use, and other applicable policies on the Trading Platform.
General Risk Disclosure
Our Trading Platform provides access to Derivatives on cryptocurrencies. Futures are leveraged products which are complex and may not be suitable for inexperienced investors. Please also refer to clause 20 of our Terms of Use for full disclosure on all the risks related to the use of the Trading Platform.
1. Eligibility
1.1 Participation is strictly limited to users who:
1.1.1 have completed identity verification (KYC) on our platform;
1.1.2 are otherwise eligible to use our services under applicable laws and the Terms of Use.
1.2 The following persons are not eligible to participate:
1.2.1 Flipster employees, officers, directors, contractors, agents, or affiliates.
1.2.2 any persons acting in concert with, or on behalf of, the above entities.
1.3 Eligibility to participate, remain eligible, or receive any reward is determined solely by us in our discretion.
1.4 We reserve the right to disqualify any participant whose eligibility is uncertain or disputed.
2. Campaign Mechanics and Commercial Terms
2.1 Each Campaign is a promotional activity intended to encourage user engagement. Campaigns are promotional in nature and:
2.1.1 do not constitute gambling, wagering, betting, gaming, or games of chance;
2.1.2 do not constitute investment advice or financial advice.
2.2 Please refer carefully to the relevant Campaign’s commercial terms for Campaign-specific details, which shall apply for the duration of the relevant Campaign.
2.3 Each campaign day during the Campaign Period shall commence at 00:00 and shall end on 00:00 of the relevant day (each a “Campaign Day”). Each Campaign Day operates independently of each other. All times are stated in UTC +0.
2.4 Participation does not guarantee any reward. Rewards, if any, are promotional, discretionary, and may be subject to caps, thresholds, exclusions, or adjustments. Performance, ranking, accuracy, or correctness alone does not create any entitlement or right to receive a reward, which is determined by us in its sole discretion.
3. Reward Determination
3.1 All Campaign-related calculations, records, results, and determinations made by our systems are final and binding.
3.2 Without limitation:
3.2.1 user device time, local time zones, indicative prices, charts, or third-party data sources are not relied upon;
3.2.2 we may adjust, exclude, invalidate, or re-calculate results where we reasonably determine that there has been any error(s), abnormal conditions, misuse, or abuse cases; and
3.2.3 we may disqualify participants, withhold, cancel, or clawback rewards at our discretion.
3.3 We are under no obligation to disclose methodologies, data sources, calculations, or decision-making processes.
4. Reward Distribution
4.1. Rewards will be distributed within a reasonable period following the conclusion of the Campaign, unless otherwise stated in the Campaign’s commercial terms.
4.2. Rewards may be distributed in digital or physical form depending on each Campaign. For physical rewards, participants may be required to provide additional information necessary for delivery, including shipping details and/or verification documents. Flipster may require additional identity verification or eligibility checks prior to the distribution of any reward.
4.3. Flipster shall not be responsible for delays, failed deliveries, customs issues, or logistical disruptions outside its reasonable control.
4.4. Flipster reserves the right to substitute any reward with another item of equivalent or greater value where the advertised reward becomes unavailable or delivery is not reasonably practicable due to logistical or regulatory restrictions. Rewards not claimed or where delivery cannot be completed within a reasonable time may be forfeited.
5. Termination and Modification of Campaign or Campaign Terms
5.1 We reserve the right to amend, suspend, invalidate, or terminate the Campaign or Campaign Terms, in whole or in part, at any time due to regulatory, technical, operational, or risk management considerations without prior notice and without liability.
5.2 These Campaign Terms do not create any reliance or advance-notice obligations.
6. Prohibited Conduct and Abuse Prevention
6.1 In addition to the conduct specified in Clause 21 of our Terms of Use, users must not engage in any of the following:
6.1.1 wash trading, self-trading, or circular trading;
6.1.2 volume inflation, spoofing, layering, or market manipulation;
6.1.3 using multiple accounts, collusion, or coordinated behaviour;
6.1.4 exploitation of system errors, latency, or any pricing anomalies; or
6.1.5 any conduct that circumvents the intent of the Campaign.
6.2 We may, at our sole discretion:
6.2.1 exclude any trading volume that we deem as abusive or artificial;
6.2.2 disqualify Participants;
6.2.3 withhold, cancel, or claw back rewards; and/or
6.2.4 suspend or terminate accounts in accordance with Clause 22 of our Terms of Use, without prior notice and without liability to you, where we reasonably determine that a participant has engaged in the prohibited conduct set out in Paragraph 5.1 above.
6.3 We are under no obligation to disclose the methodology, thresholds, or evidence relied upon in making such determinations.
7. Disclaimer and Limitation of Liability
7.1 Participation in any Campaign is entirely at your own risk.
7.2 To the maximum extent permitted by law, we shall not be liable for any losses, damages, or claims arising out of or in connection with:
7.2.1 trading activity or market movements;
7.2.2 participation in any Campaign, outcomes, rankings, or results;
7.2.3 technical failures, system delays, or data inaccuracies; or
7.2.4 delayed, reduced, adjusted, or non-distribution of rewards.
7.3 Users agree to indemnify and hold harmless Flipster and its affiliates against any claims, losses, liabilities, or regulatory actions arising from:
7.3.1 breach of these Campaign Terms or our Terms of Use;
7.3.2 misuse or abuse of a Campaign; or
7.3.3 unlawful or improper conduct in connection with participation.
7.4. Participants are solely responsible for any taxes, duties, levies, or reporting obligations arising from receipt of rewards under applicable laws. Flipster does not provide tax advice and participants should seek independent professional advice if required
8. Governing Law
8.1 These Campaign Terms are governed by the same governing law and dispute resolution provisions as set out in Clause 42 of our Terms of Service.
